Agreement and scope
These Terms cover your use of R3ciprocity on the web and in available apps.
Read the detailed language
These terms of use are entered into by and between You and R3ciprocity, LLC (the “Company”, “we” or “us”). These terms and conditions, together with documents they expressly incorporate by reference (collectively, these “Terms of Use”), govern your access to and use of R3ciprocity, including its content, functionality and services through its website, iOS application and authorized TestFlight distribution (the “Service”), whether as a guest or registered user.
Please read these Terms carefully. Before account access or saved play, you must affirm that you meet the minimum age and check that you agree to these Terms and have read the Privacy Policy. We record the version and time of acceptance with your verified account. You may play a full 30-choice guest round without signing in. To save that round and access your streak file, saved progress, projects and other account features, sign in and confirm eligibility and agreement after the final choice. Guest choices remain only in memory until you explicitly choose to save after acceptance; leaving or refreshing discards an unsaved round. Optional email, analytics, sharing and AI choices are separate.
Your plan and purchase channel determine the features, access and billing terms that apply to your account. The plan description and checkout identify what is included.
Eligibility
Account access and saved play are for people aged 13 or older in the United States and its territories.
Read the detailed language
Account access, recorded activity and other account features are offered and available to users who are 13 years of age or older and reside in the United States or any of its territories or possessions. By confirming eligibility and accepting these Terms, you represent and warrant that you satisfy these requirements and have authority to enter this agreement. If you do not meet them, do not create an account or enter recorded play.
You must have authority to submit the material you provide. Do not misrepresent your identity or eligibility. The Service does not offer accounts for children under 13 or a parental-consent account flow. An unsaved 30-choice guest game does not create an account or save your activity. Sign-in and acceptance are required to obtain your streak file and saved progress.
Account security
Use your own account and keep its credentials and recovery information confidential.
Read the detailed language
We reserve the right to withdraw or amend this Service, and any service or material we provide on the Service, in our sole discretion without notice. We will not be liable if for any reason all or any part of the Service is unavailable at any time or for any period. From time to time, we may restrict access to some parts of the Service, or the entire Service, to users, including registered users.
You are responsible for:
- Making all arrangements necessary for you to have access to the Service.
- Ensuring that all persons who access the Service through your internet connection are aware of these Terms of Use and comply with them.
To access the Service or some of the resources it offers, you may be asked to provide certain registration details or other information. It is a condition of your use of the Service that all the information you provide on the Service is correct, current and complete. You agree that all information you provide to register with this Service or otherwise, including but not limited to through the use of any interactive features on the Service, is governed by our Privacy Policy and you consent to all actions we take with respect to your information consistent with our Privacy Policy.
If you choose, or are provided with, a user name, password or any other piece of information as part of our security procedures, you must treat such information as confidential, and you must not disclose it to any other person or entity. You also acknowledge that your account is personal to you and agree not to provide any other person with access to this Service or portions of it using your user name, password or other security information. You agree to notify us immediately of any unauthorized access to or use of your user name or password or any other breach of security. You also agree to ensure that you exit from your account at the end of each session. You should use particular caution when accessing your account from a public or shared computer so that others are not able to view or record your password or other personal information.
We have the right to disable any user name, password or other identifier, whether chosen by you or provided by us, at any time if, in our sole opinion, you have violated any provision of these Terms of Use.
R3ciprocity uses managed authentication, email verification, account recovery and access controls to protect accounts. Follow the verification and multi-factor authentication requirements presented during sign-in. Email verification does not independently verify authorship, professional affiliation or public scholarly identity. A password or verification code must not be shared with a reviewer, another participant or an AI tool. Report unauthorized access promptly to contact@r3ciprocity.com. The same account ownership and access restrictions apply in the mobile application.
Your content and sharing
You keep your rights. Private projects are private by default, and sharing is a deliberate choice.
Read the detailed language
You retain your rights in user-created projects, unpublished research, uploads, private writing and original contributions. Private projects are private by default and are only shared for feedback when you explicitly enable sharing. Playing the Abstract Game, saving a draft or attaching a source does not automatically publish your project.
You grant the Company and the service providers necessary to perform your selected features a nonexclusive, worldwide permission to host, store, copy, transmit and process your content only to provide and secure those features, deliver excerpts you explicitly share, and fulfill export/deletion requests. This permission lasts while the content is retained for those purposes, including restricted backup and legal-retention periods described in the Privacy Policy. It is not a transfer of ownership or permission to sell, generally publish or train models on your unpublished work.
AI processing and Community sharing are separate choices. A request to send selected writing/feedback to a server-side AI tool does not make that writing public. You must have authority to submit other contributors' writing for that processing.
Selected reviewers/participants may receive the title/excerpt and limited context you chose to share. Do not disclose or republish another person's unpublished excerpt outside the purpose of the requested feedback without their permission. Turning off sharing stops new delivery but cannot recall independent copies already made by recipients. Recipients must use intentionally shared private excerpts only for the requested interaction unless you grant additional permission.
Public scholarly data, platform activity and AI-processed content are separately described in the Privacy Policy. A public scholarly source remains subject to its own licence and rights; your ownership of an app account does not confer ownership of the source.
User contributions
You are responsible for the legality and accuracy of the content you contribute.
Read the detailed language
The Service may contain private projects, explicitly shared feedback excerpts, Community reviews, polls, selected public profiles and contribution records, and other interactive features (collectively, “Interactive Services”) that allow users to post, submit, publish, display or transmit to other users or other persons (hereinafter, “post”) content or materials (collectively, “User Contributions”) on or through the Service.
All User Contributions must comply with the Content Standards set out in these Terms of Use.
You represent and warrant that:
- You own or control all rights in and to the User Contributions and have the right to grant the limited licence described in Your content and sharing to us and our affiliates and service providers, and each of their and our respective licensees, successors and assigns.
- All of your User Contributions do and will comply with these Terms of Use.
You understand and acknowledge that you are responsible for any User Contributions you submit or contribute, and you, not the Company, have full responsibility for such content, including its legality, reliability, accuracy and appropriateness.
We are not responsible, or liable to any third party, for the content or accuracy of any User Contributions posted by you or any other user of the Service.
Community provides focused feedback and reactions; it does not guarantee publication or institutional review. User-provided career/service evidence is identified as self-reported. Do not claim the Company has verified it, that a public name match proves identity, or that a Community reaction is an institutional endorsement.
Platform and source rights
Company software remains protected; user writing and third-party research have their own owners.
Read the detailed language
Your contributions and third-party scholarly material are not converted into Company-owned intellectual property by this section.
The Service and its entire contents, features and functionality (including but not limited to all information, software, text, displays, images, video and audio, and the design, selection and arrangement thereof), are owned by the Company, its licensors or other providers of such material and are protected by United States and international copyright, trademark, patent, trade secret and other intellectual property or proprietary rights laws.
You may use the Service's intended features to read permitted papers, save links, develop your own project, export your own data and share excerpts through the enabled controls. Browser/app caching needed to use the Service is permitted. Reuse of scholarly metadata or abstracts must follow the applicable source licence and attribution requirements.
You must not remove copyright, trademark or other proprietary notices, distribute Company software without permission, circumvent access restrictions, or treat a source link as a licence to reproduce copyrighted publisher text. No right, title or interest in the Company's Service software, design or marks is transferred to you; rights not expressly granted are reserved.
Academic and professional research through the intended features is permitted. You may not sell or commercially redistribute Company software or protected Service materials without written permission. Third-party material remains subject to its own rights and licence.
Trademarks
Do not present another party's marks as your own or imply endorsement.
Read the detailed language
The Company name, the terms, the Company logo, and all related names, logos, product and service names, designs and slogans are trademarks of the Company or its affiliates or licensors. You must not use such marks without the prior written permission of the Company. All other names, logos, product and service names, designs and slogans on this Service are the trademarks of their respective owners.
Prohibited uses
Do not harm people, misuse content or attack the Service.
Read the detailed language
You may use the Service only for lawful purposes and in accordance with these Terms of Use. You agree not to use the Service:
- In any way that violates any applicable federal, state, local or international law or regulation (including, without limitation, any laws regarding the export of data or software to and from the US or other countries).
- For the purpose of exploiting, harming or attempting to exploit or harm minors in any way by exposing them to inappropriate content, asking for personally identifiable information or otherwise.
- To send, knowingly receive, upload, download, use or re-use any material which does not comply with the Content Standards set out in these Terms of Use.
- To transmit, or procure the sending of, any advertising or promotional material including any “junk mail”, “chain letter” or “spam” or any other similar solicitation.
- To impersonate or attempt to impersonate the Company, a Company employee, another user or any other person or entity (including, without limitation, by using e-mail addresses or screen names associated with any of the foregoing).
- To engage in any other conduct that restricts or inhibits anyone’s use or enjoyment of the Service, or which, as determined by us, may harm the Company or users of the Service or expose them to liability.
Additionally, you agree not to:
- Use the Service in any manner that could disable, overburden, damage, or impair the site or interfere with any other party’s use of the Service, including their ability to engage in real time activities through the Service.
- Use unauthorized automated processes to bypass access limits, scrape private user content, manipulate results or overload the Service. Authorized exports and permitted source/API use remain distinct.
- Use manual processes to obtain or copy another person's private material, or otherwise access content without authorization.
- Use any device, software or routine that interferes with the proper working of the Service.
- Introduce any viruses, trojan horses, worms, logic bombs or other material which is malicious or technologically harmful.
- Attempt to gain unauthorized access to, interfere with, damage or disrupt any parts of the Service, the server on which the Service is stored, or any server, computer or database connected to the Service.
- Attack the Service via a denial-of-service attack or a distributed denial-of-service attack.
- Otherwise attempt to interfere with the proper working of the Service.
You also must not evade moderation/blocking or account boundaries, upload stolen confidential research, fabricate citations or evidence, manipulate crowd/poll totals, or misrepresent a prediction as a guaranteed result. Authorized exports and source use must respect the applicable permissions and access limits.
Content standards
Give useful feedback about the work, while respecting people's rights and safety.
Read the detailed language
These content standards apply to any and all User Contributions and use of Interactive Services. User Contributions must in their entirety comply with all applicable federal, state, local and international laws and regulations. Without limiting the foregoing, User Contributions must not:
- Contain any material which is defamatory, obscene, indecent, abusive, offensive, harassing, violent, hateful, inflammatory or otherwise objectionable.
- Promote sexually explicit or pornographic material, violence, or discrimination based on race, sex, religion, nationality, disability, sexual orientation or age.
- Infringe any patent, trademark, trade secret, copyright or other intellectual property or other rights of any other person.
- Violate the legal rights (including the rights of publicity and privacy) of others or contain any material that could give rise to any civil or criminal liability under applicable laws or regulations or that otherwise may be in conflict with these Terms of Use and our Privacy Policy.
- Be likely to deceive any person.
- Promote any illegal activity, or advocate, promote or assist any unlawful act.
- Impersonate any person, or misrepresent your identity or affiliation with any person or organization.
- Give the impression that they emanate from or are endorsed by us or any other person or entity, if this is not the case.
Constructive criticism and legitimate academic disagreement are not prohibited merely because they are unwelcome. Unsolicited advertising, spam and deceptive promotions remain prohibited. Do not use Community for unsolicited commercial solicitation. Do not disclose personal information or private peer-review/manuscript material without permission.
Copyright and DMCA
Report suspected infringement to our copyright contact with enough information to identify the material.
Read the detailed language
The Company responds to notices of alleged infringement that comply with the Digital Millennium Copyright Act and other applicable laws. We may remove or disable access to material claimed to infringe and make a good-faith attempt to notify the contributor so they may provide a counter-notification. The following procedure is not legal advice; you may wish to consult a lawyer about your rights and obligations.
Send copyright notices to contact@r3ciprocity.com, attention Copyright. Contact location: R3ciprocity, LLC, Tallahassee, Florida 32311, United States. This contact listing does not represent that a statutory designated-agent registration has been completed.
A notice should include:
- A physical or electronic signature of someone authorized to act for the owner of the exclusive right allegedly infringed.
- Identification of the copyrighted work, or a representative list if multiple works are involved.
- Identification and location of the allegedly infringing material sufficient for us to find it, such as its Service link and relevant description.
- Your address, telephone number and email address sufficient to contact you.
- A statement that you have a good-faith belief the disputed use is not authorized by the copyright owner, its agent or the law.
- A statement that the notice is accurate and, under penalty of perjury, that you are authorized to act for the owner of the exclusive right allegedly infringed.
A counter-notification should include your signature; identification and former location of the removed material; a statement under penalty of perjury that removal resulted from mistake or misidentification; your name, address and telephone number; and consent to the jurisdiction of the appropriate federal district court and to accept service of process from the notifier or its agent as required by 17 U.S.C. § 512(g).
We handle forwarding and any restoration according to applicable law, including its waiting period and any notice of a court action. We may terminate accounts of repeat infringers in appropriate circumstances. Knowingly misrepresenting infringement or mistaken removal can have legal consequences.
Research tools and AI
Review evidence and suggestions yourself; the Service does not make career or research-quality decisions.
Read the detailed language
Citation choices, recommendations, comprehension prompts, Community percentages, Predictions/Portfolio and Influence describe limited signals and source records. Reading and scroll activity personalize recommendations; they are not proof of understanding, expertise or merit. Self-reported service/contribution evidence is not independently verified.
R3ciprocity does not make tenure, hiring, promotion, admission, research-quality or publication decisions. It does not guarantee novelty, accuracy, acceptance, funding, employment, citation growth or any other academic outcome. A user or third-party decision maker remains responsible for how an exported report is interpreted.
When you request AI assistance, the platform uses its server-side OpenAI service after your confirmation and the relevant content and reuse checks. Imported/confidential modes can block external AI. Generated content may be incomplete or wrong; check its claims, citations, confidentiality and compliance with your institution's or publisher's AI rules. Do not treat local wording cleanup as a substantive review.
The Company does not act as a hiring authority, admissions body, publisher or institution awarding credentials.
Predictions and earned progress
Make research forecasts and return to their outcomes; there is no wagering or trading.
Read the detailed language
A forecast records an explicit answer, timestamp and evaluation window against a dated, matched-field baseline. The first saved answer/comparison is fixed; later citation observations do not rewrite its original outcome. Missing sources, insufficient matches, withdrawn participation or citation corrections can prevent a comparison or cause a current display to be withheld.
Community support is the share of eligible participants making a comparable choice, not a calibrated probability or a representative opinion poll. The platform does not fabricate participation where the sample is too small. Private participation and sharing choices follow the Privacy Policy.
The Forecast / Momentum meter earns opportunities through ordinary participation and engagement, with correct citation choices/streaks accelerating progress. Optional 1x/2x/3x labels record self-confidence only; they do not stake money, spend coins or give extra weight in crowd totals.
Game coins and progression are in-app noncash rewards, not transferable money, securities, purchased wagers or a promised payout. There is no gambling, real-money trading, fake trading account or cash settlement. Paid membership must not buy prediction correctness, scholarly quality, Influence or Community reputation.
Paid services
Paid plans and services have clearly disclosed prices, billing periods and renewal terms. You authorize charges at checkout.
Read the detailed language
R3ciprocity provides free features and paid plans and services. When you purchase a paid plan or service, you agree to the price and payment terms shown for that offer. We may add new paid services or change fees, subject to applicable law and any required notice or consent. A price change does not retroactively change a payment you already authorized.
Checkout shows the price, currency, applicable taxes, billing interval and whether the purchase renews automatically. A subscription renews according to those disclosed terms until cancelled. An offer that includes a trial states its duration, the charge and billing schedule after the trial, and how to cancel before conversion. Trial conversion and recurring charges require your authorization. Accepting these Terms, playing the game or earning in-app rewards does not itself authorize a payment.
Purchases and payment processing
Payments use the disclosed provider. Cancellation stops future renewal according to the offer and applicable law.
Read the detailed language
You represent that you have the legal right to use your payment method and will provide accurate, complete and current purchase information. You agree to pay the charges and applicable taxes that you authorize. We may refuse or cancel an order for availability, description or price errors, or suspected fraud or unauthorized transactions, subject to applicable law.
Web payments are processed through Stripe. The application stores relevant provider identifiers, plan/status and payment records, rather than collecting raw card numbers. Applicable Stripe checkout or optional consumer-product terms govern your interaction with those products; accepting these Terms does not create a Stripe connected account or agree to a merchant payout contract.
Each subscription offer discloses its renewal, trial, cancellation, access and refund terms before purchase. You may request cancellation through the available account controls or contact@r3ciprocity.com. Cancellation normally prevents future renewals; access through an already-paid period and any refund depend on the disclosed offer and applicable law. Nothing waives a mandatory refund, withdrawal or cancellation right. We do not promise a refund for every purchase or impose an undisclosed blanket no-refund rule. Contact us promptly about a billing error.
For purchases made through Apple, use Apple’s subscription-management, cancellation and refund process. Your purchase channel determines how payments, renewals and billing support are handled.
Moderation and termination
We may remove harmful content or restrict access; contact us to ask for review.
Read the detailed language
We may remove or refuse contributions, investigate violations of these Terms and content standards, take appropriate lawful action, and suspend or terminate access. These actions may be necessary for infringement, harassment, private-data disclosure, abuse, safety or manipulation of participation. We reserve the right to restrict or end access to the Service, subject to applicable law and any paid offer.
Report a problem through the app or contact contact@r3ciprocity.com. We can investigate relevant stored material and restrict inappropriate content or access. We do not undertake to review all material before it is shared and cannot guarantee immediate removal of every objectionable contribution. You may contact us to request review of a restriction or removal.
A rights or safety investigation may require relevant lawful disclosures consistent with the Privacy Policy. An allegation alone does not give a claimant unrestricted access to another user’s identity or private research.
Access to the Service is subject to the suspension and termination terms above. Export important work before a known access end. Suspension is not account erasure; privacy requests and payment obligations follow the relevant policy and offer.
Privacy, export and deletion
Use the Privacy Policy for actual data handling and the limits of cleanup.
Read the detailed language
All information we collect on this Service is subject to our Privacy Policy. By using the Service, the applicable processing and your choices are described in the Privacy Policy.
Optional sharing, analytics and AI confirmation are distinct from essential account processing and from agreement to these Terms. The application provides an owner-scoped export and separate original-file downloads.
Project deletion affects that project's linked active content and queues private file cleanup. Account deletion blocks access and stays pending until provider, file and app-database cleanup is verified. Separate backups, independent downloads and deliberately copied/shared material have distinct limits. Deletion is not instant; pending cleanup and backup retention require operator verification. The Privacy Policy explains those limits and how to request help.
Information and third-party links
Source records and other people's statements can be wrong or incomplete.
Read the detailed language
The information presented on or through the Service is made available solely for general information purposes. We do not warrant the accuracy, completeness or usefulness of this information. Any reliance you place on such information is strictly at your own risk. We disclaim all liability and responsibility arising from any reliance placed on such materials by you or any other visitor to the Service, or by anyone who may be informed of any of its contents.
This Service includes content provided by third parties, including materials provided by other users, bloggers and third-party licensors, syndicators, aggregators and/or reporting services. All statements and/or opinions expressed in these materials, and all articles and responses to questions and other content, other than the content provided by the Company, are solely the opinions and the responsibility of the person or entity providing those materials. These materials do not necessarily reflect the opinion of the Company. We are not responsible, or liable to you or any third party, for the content or accuracy of any materials provided by any third parties.
If the Service contains links to other sites and resources provided by third parties, these links are provided for your convenience only. R3ciprocity does not use advertising or data-broker integrations. Relevant links include public scholarly sources, publisher records and enabled authentication/service-provider pages. We have no control over the contents of those sites or resources, and accept no responsibility for them or for any loss or damage that may arise from your use of them. If you decide to access any of the third party services linked to this Service, you do so entirely at your own risk and subject to the terms and conditions of use for such services.
The Service may change or become unavailable. Dated source snapshots identify when evidence was observed; they do not promise every record is complete or current. We may update the Service while honoring applicable obligations.
Disclaimers
The Service is provided as is and as available, subject to rights that cannot be excluded.
Read the detailed language
You understand that we cannot and do not guarantee or warrant that files available for downloading from the internet or the Service will be free of viruses or other destructive code. WE WILL NOT BE LIABLE FOR ANY LOSS OR DAMAGE CAUSED BY A DISTRIBUTED DENIAL-OF-SERVICE ATTACK, VIRUSES OR OTHER TECHNOLOGICALLY HARMFUL MATERIAL THAT MAY INFECT YOUR COMPUTER EQUIPMENT, COMPUTER PROGRAMS, DATA OR OTHER PROPRIETARY MATERIAL DUE TO YOUR USE OF THE SERVICE OR ANY SERVICES OR ITEMS OBTAINED THROUGH THE SERVICE OR TO YOUR DOWNLOADING OF ANY MATERIAL POSTED ON IT, OR ON ANY SERVICE LINKED TO IT.
YOUR USE OF THE SERVICE, ITS CONTENT AND ANY SERVICES OR ITEMS OBTAINED THROUGH THE SERVICE IS AT YOUR OWN RISK. THE SERVICE, ITS CONTENT AND ANY SERVICES OR ITEMS OBTAINED THROUGH THE SERVICE ARE PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS, WITHOUT ANY WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. NEITHER THE COMPANY NOR ANY PERSON ASSOCIATED WITH THE COMPANY MAKES ANY WARRANTY OR REPRESENTATION WITH RESPECT TO THE COMPLETENESS, SECURITY, RELIABILITY, QUALITY, ACCURACY OR AVAILABILITY OF THE SERVICE. WITHOUT LIMITING THE FOREGOING, NEITHER THE COMPANY NOR ANYONE ASSOCIATED WITH THE COMPANY REPRESENTS OR WARRANTS THAT THE SERVICE, ITS CONTENT OR ANY SERVICES OR ITEMS OBTAINED THROUGH THE SERVICE WILL BE ACCURATE, RELIABLE, ERROR-FREE OR UNINTERRUPTED, THAT DEFECTS WILL BE CORRECTED, THAT OUR SITE OR THE SERVER THAT MAKES IT AVAILABLE ARE FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS OR THAT THE SERVICE OR ANY SERVICES OR ITEMS OBTAINED THROUGH THE SERVICE WILL OTHERWISE MEET YOUR NEEDS OR EXPECTATIONS.
THE COMPANY HEREBY DISCLAIMS ALL WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, STATUTORY OR OTHERWISE, INCLUDING BUT NOT LIMITED TO ANY WARRANTIES OF MERCHANTABILITY, NON-INFRINGEMENT AND FITNESS FOR PARTICULAR PURPOSE.
THE FOREGOING DOES NOT AFFECT ANY WARRANTIES WHICH CANNOT BE EXCLUDED OR LIMITED UNDER APPLICABLE LAW.
Liability limits
Liability is limited to the extent permitted by applicable law.
Read the detailed language
IN NO EVENT WILL THE COMPANY, ITS AFFILIATES OR THEIR LICENSORS, SERVICE PROVIDERS, EMPLOYEES, AGENTS, OFFICERS OR DIRECTORS BE LIABLE FOR DAMAGES OF ANY KIND, UNDER ANY LEGAL THEORY, ARISING OUT OF OR IN CONNECTION WITH YOUR USE, OR INABILITY TO USE, THE SERVICE, ANY WEBSITES LINKED TO IT, ANY CONTENT ON THE SERVICE OR SUCH OTHER WEBSITES OR ANY SERVICES OR ITEMS OBTAINED THROUGH THE SERVICE OR SUCH OTHER WEBSITES, INCLUDING ANY DIRECT, INDIRECT, SPECIAL, INCIDENTAL, CONSEQUENTIAL OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO, PERSONAL INJURY, PAIN AND SUFFERING, EMOTIONAL DISTRESS, LOSS OF REVENUE, LOSS OF PROFITS, LOSS OF BUSINESS OR ANTICIPATED SAVINGS, LOSS OF USE, LOSS OF GOODWILL, LOSS OF DATA, AND WHETHER CAUSED BY TORT (INCLUDING NEGLIGENCE), BREACH OF CONTRACT OR OTHERWISE, EVEN IF FORESEEABLE.
THE FOREGOING DOES NOT AFFECT ANY LIABILITY WHICH CANNOT BE EXCLUDED OR LIMITED UNDER APPLICABLE LAW.
Indemnification
You are responsible for claims arising from your violations and unauthorized use.
Read the detailed language
You agree to defend, indemnify and hold harmless the Company, its affiliates, licensors and service providers, and its and their respective officers, directors, employees, contractors, agents, licensors, suppliers, successors and assigns from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses or fees (including reasonable attorneys’ fees) arising out of or relating to your violation of these Terms of Use or your use of the Service, including, but not limited to, your User Contributions, any use of the Service’s content, services and products other than as expressly authorized in these Terms of Use or your use of any information obtained from the Service.
Governing law and disputes
Florida law applies, with Tallahassee/Leon County courts and the arbitration procedure below.
Read the detailed language
All matters relating to the Service and these Terms of Use and any dispute or claim arising therefrom or related thereto (in each case, including non-contractual disputes or claims), shall be governed by and construed in accordance with the internal laws of the State of Florida without giving effect to any choice or conflict of law provision or rule (whether of the State of Florida or any other jurisdiction).
Subject to the arbitration provision below and applicable law, any legal suit, action or proceeding arising out of, or related to, these Terms of Use or the Service shall be instituted exclusively in the federal courts of the United States or the courts of the State of Florida in each case located in the City of Tallahassee, Leon County, Florida. The parties irrevocably consent to the exclusive jurisdiction of such courts and waive any and all objections to the exercise of jurisdiction over you by such courts and to venue in such courts.
Any controversy or claim arising out of or relating to this contract, or the breach thereof, shall be settled by a neutral arbitrator in accordance with the American Arbitration Association’s (“AAA”) rules and procedures, including the applicable Consumer Arbitration Rules (collectively, the “AAA Rules”). The arbitration shall be held in Tallahassee, Florida. The arbitrator will decide the substance of all claims in accordance with the laws of the state of Florida. Payment of all filing, administration, and arbitrator fees will be governed by the AAA’s Rules, unless otherwise provided in this Agreement.
ANY CAUSE OF ACTION OR CLAIM YOU MAY HAVE ARISING OUT OF OR RELATING TO THESE TERMS OF USE OR THE SERVICE MUST BE COMMENCED WITHIN ONE (1) YEAR AFTER THE CAUSE OF ACTION ACCRUES, OTHERWISE, SUCH CAUSE OF ACTION OR CLAIM IS PERMANENTLY BARRED.
These provisions apply only to the extent permitted by applicable law. They do not remove nonwaivable rights, statutory claim periods or available small-claims procedures.
Changes to these terms
We may update these Terms by posting changes, subject to required notice and applicable law.
Read the detailed language
We may revise and update these Terms of Use from time to time in our sole discretion. All changes are effective immediately when we post them and apply to all access to and use of the Service thereafter. However, any changes to the dispute resolution provisions set forth in Governing Law and Jurisdiction will not apply to any disputes for which the parties have actual notice prior to the date the change is posted on the Service.
Your continued use of the Service following the posting of revised Terms of Use means that you accept and agree to the changes. You should check this page each time you access this Service so you are aware of any changes, as they are binding on you.
We will provide additional notice or request renewed acceptance of a changed version when required. Material changes to private-content use, optional consent or paid renewal require the applicable notice and authorization; continued use does not replace those separate choices.
Waiver, severability and entire agreement
If a provision is unenforceable, the remaining agreement continues.
Read the detailed language
No waiver by the Company of any term or condition set forth in these Terms of Use shall be deemed a further or continuing waiver of such term or condition or a waiver of any other term or condition, and any failure of the Company to assert a right or provision under these Terms of Use shall not constitute a waiver of such right or provision.
If any provision of these Terms of Use is held by a court or other tribunal of competent jurisdiction to be invalid, illegal or unenforceable for any reason, such provision shall be eliminated or limited to the minimum extent such that the remaining provisions of the Terms of Use will continue in full force and effect.
The Terms of Use and our Privacy Policy constitute the sole and entire agreement between you and the Company with respect to the Service and supersede all prior and contemporaneous understandings, agreements, representations and warranties, both written and oral, with respect to the Service.
